Terms of Service

1. Acceptance & Business Eligibility

By accessing or using the services of Brotherhood Consulting (the operating brand of Brotherhood Productions and Studios Pvt. Ltd., "we", "our", or "us") or the Brotherhood Reviews software platform, you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not access or use our services.

Our services are strictly intended for business entities, enterprise operators, and authorized individuals who possess legal authority to bind their respective commercial organizations.

2. Service Description & Pilot Scope Limitations

Brotherhood Consulting provides technical advisory, bespoke workflow engineering, and operates the Brotherhood Reviews platform. Brotherhood Reviews is currently in active production pilot deployment with select merchants (including a Noida-based healthcare facility).

During this pilot phase, features, integrations, and user interfaces are subject to active refinement and updates. While we strive for continuous service reliability, the platform is provided without a formal uptime service-level agreement (SLA).

3. Account Responsibilities & Profile Authority

To use our review management and Google Business Profile integrations, you represent and warrant that:

  • You hold direct ownership or explicit written authorization from the business to manage its Google Business Profile, location data, and customer communications.
  • All credentials, email addresses, and business details provided during onboarding are accurate and current.
  • You are solely responsible for securing your login credentials and for all actions taken under your account.

4. Acceptable Use & Prohibited Conduct

We strictly enforce ethical reputation practices. Users agree not to:

  • Fabricate Reviews: Create, generate, purchase, or solicit fraudulent, deceptive, or non-genuine customer reviews.
  • Engage in Review Gating: Condition review requests, selectively block negative reviewers from leaving public reviews, or route customers based on preliminary ratings in violation of Google Business Profile policies.
  • Violate Platform Terms: Use automation scripts or scrapers that violate Google API Services policies, WhatsApp terms, or consumer protection guidelines.
  • Circumvent Security: Reverse engineer, decompile, probe, or breach the security architecture of the platform.

5. Merchant Approval Required for AI-Drafted Replies

Brotherhood Reviews integrates Google Gemini models to assist merchants by drafting proposed responses to customer reviews. All AI-generated responses are strictly preliminary drafts.

The merchant retains complete responsibility for reviewing, editing, verifying, and authorizing any response before it is transmitted or published to any public service. Brotherhood Consulting disclaims liability for any unverified claims, tone inaccuracies, or statements contained in merchant-approved replies.

6. Disclaimers & Absence of Outcome Guarantees

Our software and advisory services provide workflows and tools to facilitate customer feedback and legitimate review generation. However:

  • We do not guarantee specific review counts, star-rating increases, or sentiment scores.
  • We do not guarantee search engine ranking improvements, Google Local Pack placement, or customer acquisition volume.
  • Public platform behaviors (including Google search algorithms, review verification filters, and profile suspensions) are outside our control and determined solely by the respective third-party platform.

7. Intellectual Property & Data Ownership

Brotherhood Consulting and its licensors retain all right, title, and interest in and to the platform, code, architecture, design assets, and proprietary algorithms.

You retain sole ownership of your business data, customer feedback records, and confidential operational materials. You grant us only the limited license necessary to host, process, and transmit such data to provide the services described.

8. Fees, Subscriptions & Commercial Engagements

Pricing for commercial plans, pilot licenses, and bespoke workflow engineering is governed by individual enterprise agreements or published pricing schedules. Billing cycles operate on quarterly and annual terms, GST extra, processed securely via Razorpay when formal billing activates. Pilot participants receive access under terms agreed in writing with the founder.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Brotherhood Consulting, its affiliates, or suppliers be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including damages for loss of profits, goodwill, data, or business interruption.

Our total aggregate liability arising out of or related to these Terms or your use of the service shall not exceed the amounts actually paid by you to Brotherhood Consulting in the three (3) months preceding the claim.

10. Termination & Data Deletion

Either party may terminate access at any time upon written notice. Upon termination, you may request complete deletion of your workspace data. Stored OAuth tokens will be revoked and deleted immediately. All account records, location data, cached reviews, and credentials will be permanently purged within 30 days.

11. Governing Law & Jurisdiction

These Terms of Service are governed by the laws of India. Any legal dispute or controversy arising out of these terms shall be subject to the exclusive jurisdiction of the competent courts in Ghaziabad / Gautam Buddha Nagar, Uttar Pradesh, India (subject to confirmation with legal counsel).
